• Identify, assess, and mitigate legal risks associated with AI development and deployment, including compliance with US, international, and industry-specific regulations, and data privacy laws.

• Representing both AI developers/providers and AI users in both inbound and outbound AI transactions, and negotiating and drafting enterprise AI agreements, and related equipment leases, data licensing, and IP licensing agreements.
• Formulating comprehensive intellectual property strategies and policies for AI across entire enterprises.
• Providing counsel on the use of AI tools and compliance with employment laws regarding recruitment/screening, pay transparency, background checks, collective bargaining, and drafting workplace policies related to AI utilization.

INTELLECTUAL PROPERTY & TECHNOLOGY

• Representing companies at all stages of growth in developing, commercializing, and transferring intellectual property.
• Offering guidance on trademark, trade secret, and copyright issues, as well as cost-effective strategies for the development and protection of brands and portfolios.
• Negotiating and drafting trademark, copyright, software, SaaS and technology licensing agreements.
• Advising clients on the proper use and policing of their intellectual property; and handling trademark and copyright infringement matters.
• Conducting IP due diligence in connection with joint ventures, asset purchases, and mergers and acquisitions.

DATA PRIVACY & CYBERSECURITY

• Preparing comprehensive privacy and cybersecurity policies to comply with the GDPR, HIPAA, GLBA, and state privacy laws, such as CCPA/CPRA, CPA, CTDPA, UCPA, and VCDPA.
• Advising health tech, fintech, and adtech clients on industry-specific data privacy requirements and best practices.
• Developing incident response plans for data breaches and assisting with data breach investigations, notification and remediation.
• Offering strategic counsel on privacy-related claims and disputes.
• Conducting thorough assessments and audits of a company’s existing privacy and cybersecurity practices to identify vulnerabilities and compliance gaps, and providing recommendations and action plans to address identified issues and enhance security measures.
• Drafting and negotiating data processing agreements (DPAs) and preparing privacy statements and terms of service for websites and mobile apps.
• Advising on employee monitoring practices, background checks, and workplace privacy policies to ensure compliance with employment laws and data protection regulations.

EMPLOYMENT LAW

• Creating workplace policies, including those addressing issues like sexual harassment, and offering guidance on the application of these policies.
• Preparing artificial intelligence workplace policies.
• Drafting employment, consulting and severance agreements and advising on enforcing nonsolicitation agreements and restrictive covenants, including drafting demand letters to former employees and their future employers.
• Designing equity incentive plans and preparing the associated legal documentation.
• Handling issues like hiring, firing, and workplace disputes.
• Providing guidance on planning and executing reductions in force (RIFs) and layoffs.

• Corporate Governance: Establishing corporate governance structures, including boards of directors, and preparing bylaws and governance policies, to guide decision-making within the company.
